HONG KONG, Oct 20, 2021 - (ACN Newswire via SEAPRWire.com) - Creative China Holdings Limited ("Creative China" or the "Group"; stock code: 8368) today announced that it and its wholly-owned subsidiary CCH Film Production Limited have entered into a cooperation agreement with consideration at around RMB30 million (equivalent to about HK$36 million), with its Cooperation Partners and Guarantor for the distribution of six foreign imported films ("the Target Films") in Mainland China. The consideration will be settled by the allotment and issue of consideration shares by the Group to the partners or their designated nominee(s) at the issue price of HK$1 per share proportionally according to the allocation of the consideration shares of each Target Films. The entire consideration shares represents approximately 9.8% of the total allotted and issued share capital of the Group.The other parties in this cooperation agreement are Truth Pictures (Hong Kong) Limited ("Truth Pictures"), Yuanxin Pictures (Beijing) Limited ("Yuanxin Pictures") (Truth Pictures and Yuanxin Pictures, collectively (the "Cooperation Partners")) and Mr. Liang Long Fei ("Mr Liang", the Guarantor). Pursuant to the cooperation agreement, the parties are to distribute the Target Films through cinemas, television stations and/or the new media (as the case may be) on an income sharing basis. The cooperation partners have been granted an exclusive right and license (with the right to sublicense) for film distribution in Mainland China and are eligible to obtain the License for Public Screening of Films.The agreement entitles Creative China to (i) 82% of the total net income for one target film imported from Taiwan; and (ii) 100% of the total net income for each of the remaining target films respectively within the Licensing Period. The cooperation partners guarantee the actual income will not be less than RMB35 million by 31 December 2022. Otherwise, the cooperation partners are to compensate the Group for the amount equivalent to the shortfall in cash which is to be settled no later than 31 January 2023. If the amount of the Total Net Income in aggregate (the "Aggregate Net Income") does exceed RMB35 million and not exceed RMB60 million, apart from receiving RMB 35 million, the Group is entitled to 50% of the excess balance. If the amount of the Aggregate Net Income exceeds RMB60 million, in addition to the above-mentioned income, the Group is entitled to 25% of the excess balance.Truth Pictures is wholly-owned by Mr Liang. SINGAPORE - Four men were charged in court on Wednesday (July 28) over their involvement in a Telegram group containing leaked sexual videos and images of women. The Telegram group, named "Sam's lots of CB Collection", included photos of individuals in the nude, of women dressed scantily or in compromising positions, as well as videos of sexual acts. These are exploitative of the women involved as they were circulated on the platform without consent, said the police in a statement on Wednesday. The four men - Yee Wing Kay, 46; Wong Ming Jun, 28; Lincoln Anthony Fernandez, 30; and Tan Yeow Chong, 40 - were charged with multiple counts of possessing obscene films and transmitting obscene materials. Among other offences, Tan is said to have a total of 17,219 obscene films in two of his hard disks. Wong, Fernandez and Tan are Singaporeans. Yee is a Malaysian with Singapore permanent residency. The police said they received a report against the Telegram group on Oct 24, 2019, and arrested four men responsible for the upkeep and the distribution of the obscene contents in the group on Nov 6 that year. "Subsequent investigations revealed that three of the men were believed to be administrators of the Telegram group, while the fourth had advertised the sale of the obscene materials," said the police. Electronic devices were subsequently seized from them and obscene materials, including thousands of video files and pictures, were uncovered from forensic examination. The police said they consulted the Attorney-General's Chambers this month to charge the four men, upon the conclusion of investigations. Their cases will be heard again on Aug 28. Offenders guilty of possessing obscene films can be jailed for up to six months, or fined up to $20,000, or both. Those guilty of transmitting obscene materials can be jailed for up to three months, or fined, or both. The police said they take a very serious view of sexual exploitation of women perpetuated through illegal chat groups, and will take tough enforcement actions against such offences. "Members of the public are advised not to join illegal chat groups circulating obscene materials, and to report them to the police," they added. SINGAPORE - A second youth linked to the SG Nasi Lemak Telegram chat group which hosted upskirt images of women in Singapore has been dealt with. The 18-year-old boy, who had pleaded guilty on Oct 21 to being in possession of 59 obscene films, was on Wednesday (Dec 2) sentenced to a year's probation. The clips were found on his mobile phone. The youth cannot be named as he was 17 years old when he committed the offence in October last year. The Children and Young Persons Act covers young people below 18. As part of his sentence, the teenager has to remain indoors from 10pm to 6am every day and perform 40 hours of community service. His parents were bonded for $5,000 to ensure his good behaviour. Justin Lee Han Shi, another youth linked to the chat group, was sentenced to a year's probation in October. The 20-year-old had admitted to being in possession of more than 400 obscene films last year. The cases involving two other alleged offenders - Leonard Teo Min Xuan, 27 and Liong Tianwei, 38 - are still pending. The group had about 44,000 members when it was active, and used the platform to share obscene photos and videos of women in Singapore. Officers from Ang Mo Kio Police Division had arrested the four for their "suspected involvement in circulating obscene materials and promoting vice activities" through the chat group. SINGAPORE - An 18-year-old student pleaded guilty on Wednesday (Oct 21) to one charge of possessing obscene films on his mobile phone. He was among four men arrested last October in islandwide raids to bring down the SG Nasi Lemak chat group, which was used as a platform for sharing obscene photos and videos of Singaporean girls. The student, who cannot be named under the Children and Young Persons Act, was found with 59 video files containing obscene material stored in his mobile phone. The files were classified as obscene as they contained explicit depictions of a variety of sex acts and close-up depictions of genitalia. Two charges involving the sharing of obscene material were also taken into consideration. The four arrested were all charged over their alleged involvement in transmitting obscene material in the Telegram chat group, which hosted upskirt images of women. Police seized more than 10 electronic devices, including a central processing unit, a laptop, a hard disk and several mobile phones, as case exhibits. Another man linked to the case, Justin Lee Han Shi, was sentenced last Friday to a year's probation after he admitted to sharing obscene films with other members in the SG Nasi Lemak Telegram group chat.
